Terms of Service

Please read these Terms of Service carefully before using the SessioTech platform. These Terms constitute a legally binding agreement between you (or your organization) and SessioTech Inc.
1. Acceptance of Terms
By creating a SessioTech account or using any part of the platform, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are accepting on behalf of a company or organization, you represent that you have authority to bind that entity. If you do not agree to these Terms, do not use SessioTech.
2. Description of Service
SessioTech provides AI-powered occupancy analytics software delivered as a cloud-based service ("Service"). The Service allows businesses to connect existing camera infrastructure, define spatial zones, and receive real-time and historical occupancy data. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable.
3. Accounts and Access
You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must promptly notify us at support@sessiotech.com if you suspect unauthorized access. We will not be liable for losses resulting from compromised credentials where you have not notified us. Each subscription plan specifies the number of locations, cameras, and users permitted. Exceeding these limits may result in service interruption until you upgrade your plan.
4. Acceptable Use
You agree not to: • Use the Service for any unlawful purpose or in violation of applicable privacy laws • Perform facial recognition or any biometric identification using data derived from SessioTech • Attempt to reverse engineer, decompile, or extract source code from the Service • Use the Service to monitor individuals without their knowledge in jurisdictions where consent is required • Resell, sublicense, or white-label the Service without a written reseller agreement • Introduce malicious code, interfere with platform infrastructure, or conduct load tests without prior written approval Violation of this section may result in immediate account termination without refund.
5. Subscription and Billing
SessioTech is offered on a recurring subscription basis. By subscribing, you authorize us to charge your payment method on the billing cycle you select (monthly or annual). All fees are stated in USD and are exclusive of applicable taxes. We will provide at least 30 days' notice of price changes; continued use after the effective date constitutes acceptance. Annual subscriptions are non-refundable except where required by law. Monthly subscriptions may be cancelled at any time; access continues through the end of the paid period. Overdue accounts may be suspended after a 7-day grace period. We are not liable for data loss resulting from account suspension due to non-payment.
6. Intellectual Property
SessioTech and its licensors retain all right, title, and interest in the Service, including all software, algorithms, models, documentation, and trademarks. These Terms do not grant you any ownership interest. You retain ownership of all data you upload or generate through your account ("Customer Data"). You grant SessioTech a limited, worldwide, royalty-free license to process Customer Data solely to provide the Service to you. We may use aggregated, anonymized, non-identifiable occupancy statistics derived from the platform to improve our models and publish industry benchmarks, provided no individual or organization can be identified.
7. Confidentiality
Each party agrees to protect the other's non-public information using at least the same degree of care it uses for its own confidential information (but no less than reasonable care), and not to disclose such information to third parties without prior written consent. This obligation does not apply to information that is publicly available, already known to the receiving party without restriction, or required to be disclosed by law.
8. Privacy and Data Processing
Our collection and use of personal data is governed by our Privacy Policy, incorporated herein by reference. For customers subject to GDPR or similar regulations, a Data Processing Agreement (DPA) is available upon request at privacy@sessiotech.com.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. OCCUPANCY COUNTS AND ANALYTICS ARE ESTIMATES AND MAY NOT BE 100% ACCURATE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SESSIOTECH'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL SESSIOTECH BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11. Indemnification
You agree to indemnify and hold harmless SessioTech and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of: (a) your use of the Service in violation of these Terms; (b) your violation of any law or third-party rights; or (c) Customer Data you provide to us.
12. Term and Termination
These Terms commence when you create an account and continue until terminated. Either party may terminate for convenience with 30 days' written notice. We may terminate immediately if you materially breach these Terms and fail to cure within 7 days of notice. Upon termination, your access to the Service ceases. We will make your Customer Data available for export for 30 days post-termination, after which it may be deleted.
13. Governing Law
These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict-of-law provisions. Any dispute that cannot be resolved informally shall be submitted to binding arbitration in Toronto, Ontario, except that either party may seek injunctive relief in any court of competent jurisdiction.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified by email at least 14 days before taking effect. If you disagree with the changes, you may terminate your account before the effective date. Continued use constitutes acceptance.
